MILAN — Bending Spoons priced its initial public offering on July 1, 2026, above its marketed range. The company sold 58 million shares at $29 apiece, raising $1.68 billion. This IPO valued the Italian technology company at $18.4 billion, based on outstanding shares detailed in its filings.

The marketed price range for the shares was $26 to $28. Luca Ferrari is the CEO of Bending Spoons. The company was started in 2013 by Ferrari and co-founders with $40,000 remaining from the liquidation of the diary app Evertale. The company's name is inspired by a scene from the film "The Matrix."

Bending Spoons' business model involves acquiring and revamping digital businesses. This process includes staff reductions and technology overhauls. The company does not sell the businesses it acquires.

According to its IPO prospectus, Bending Spoons has completed over 50 acquisitions and identified more than 1,000 digital businesses as potential targets. Since 2025, the company has acquired Brightcove. It also owns Vimeo, AOL and Eventbrite.

Matt Kennedy, senior strategist at Renaissance Capital, noted the company's distinct profile. "It'll definitely be a data point for the software industry, but that may simply be due to the scarcity of deals here. Bending Spoons has a very different profile compared to most software IPOs in the pipeline," Kennedy said. He added, "It's an interesting story, and they've done a good job creating a cohesive narrative around owning more than 50 businesses. The 'fix it with AI' pitch makes sense in theory, though we would have liked to see a longer track record."
